These Terms constitute a legally binding agreement between you and United Accountants, Inc. regarding your use of the Service.

2. Description of Service

Karl AI is a cloud-based platform that provides accounting automation services, including:

• Automated document processing and categorization using AI
• Integration with accounting software (QuickBooks Online)

• Workflow automation for accounting tasks

The Service is designed for accounting professionals and businesses to streamline their financial operations.

3. Eligibility

To use Karl AI, you must:

• Have the legal authority to enter into these Terms
• Not be prohibited from using the Service under applicable laws

• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for competitive analysis or to build a competing product
• Scrape, harvest, or collect data from the Service without authorization
• Share your account credentials or allow unauthorized access

6. Intellectual Property

Our Ownership

Karl AI and all related content, features, and functionality (including software, text, graphics, logos, and trademarks) are owned by United Accountants, Inc. and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

Your Content

You retain ownership of data and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a license to use, process, and store it solely to provide and improve the Service.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without compensation or attribution to you.

7. Third-Party Services

Karl AI integrates with third-party services such as QuickBooks Online, banking providers, and cloud infrastructure. Your use of these integrations is subject to the respective third-party terms and policies.

We are not responsible for the availability, accuracy, or content of third-party services. Any issues with third-party services should be addressed directly with those providers.

8. Payment Terms

Subscription Plans

Certain features of Karl AI require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Fees are non-refundable except as required by law or stated in these Terms
• We may change pricing with 30 days' notice before your next billing cycle

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access until then.

Failed Payments

If payment fails, we may suspend your access until payment is received. Continued non-payment may result in account termination.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

We disclaim all warranties, including:

• Merchantability, fitness for a particular purpose, and non-infringement
• That the Service will be uninterrupted, secure, or error-free
• The accuracy, reliability, or completeness of any content or results
• That defects will be corrected or that the Service is free of viruses

No Professional Advice

Karl AI is a tool to assist with accounting tasks. It does not provide professional accounting, tax, legal, or financial advice. You should consult qualified professionals for such advice. We are not responsible for decisions made based on Service outputs.

AI Limitations

Our AI-powered features may produce errors or inaccurate results. You are responsible for reviewing and verifying all outputs before relying on them.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITED ACCOUNTANTS, INC. SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business opportunities, or goodwill
• Damages arising from your use or inability to use the Service
• Damages related to third-party services or integrations

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless United Accountants, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of any third-party rights
• Your Content or data you process through the Service

12. Termination

By You

You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to use the Service ceases immediately.

By Us

We may suspend or terminate your access at any time, with or without cause, including for:

• Violation of these Terms
• Non-payment of fees
• Suspected fraudulent or illegal activity
• Extended periods of inactivity
• Discontinuation of the Service

Effect of Termination

Upon termination:

• Your license to use the Service ends immediately
• We may delete your account data after a reasonable retention period (typically 30 days)
• Provisions that should survive termination (such as disclaimers, limitations of liability, and indemnification) will remain in effect

13. Governing Law & Disputes

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court for intellectual property violations.

Class Action Waiver
